Welcome to R+ Capital (“the Platform”), registered in Warsaw, Poland (“we”, “us”, or “our”).
These Terms & Conditions (“Terms”) govern your access to and use of our private membership network and informational services (collectively, the “Service”).
By applying for or maintaining membership, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
2. Nature of the Platform
R+ Capital is a private, invitation-only community where members can access general information, participate in discussions, and connect with other members.
The Platform may share information about companies, markets, or investment-related topics.
This information is for discussion and networking purposes only.
We do not:
provide investment, financial, legal, accounting, or tax advice;
recommend or endorse any investment;
market, offer, arrange, or intermediate transactions in financial instruments;
operate as a broker, investment firm, fund manager, custodian, or regulated platform;
participate in investment execution, custody, transfer, or administration.
If a member chooses to invest, that occurs entirely outside the Platform.
3. Membership
Membership is private and granted at our sole discretion.
By applying, you represent that:
all information you provide is accurate;
you have the knowledge and experience necessary to make your own independent decisions;
you understand that the Platform is not a financial services provider.
We may accept, decline, or revoke membership at any time for any reason.
4. Account and Access
Upon approval, you may receive access to digital spaces such as websites, workspaces, newsletters, groups, or communication channels.
You agree to:
keep your login credentials confidential;
notify us of any unauthorized access;
use the Platform responsibly and lawfully.
5. Confidentiality
All materials shared within the Platform—such as company information, documents, posts, and discussions—are confidential and solely for members’ personal use.
You may not:
forward, distribute, or publish any content from the Platform;
share information with non-members;
use Platform content for public solicitation or promotion.
This obligation continues after membership ends.
6. Third-Party Services
The Platform may from time to time provide introductions or links to third-party services, such as regulated investment platforms or other external providers.
These third parties:
operate independently from us;
conduct their own onboarding, compliance, and contractual processes;
are solely responsible for any services they provide.
Your interactions with third parties are governed exclusively by their terms.
We do not intermediate, participate in, or benefit from any transactions you may enter into with third parties.
7. Member Conduct
You agree not to:
publicly promote or advertise opportunities shared within the Platform;
solicit funds or distribute marketing materials;
use the Platform to offer or sell securities or financial instruments;
misrepresent your identity or experience;
engage in conduct that is unlawful, misleading, or harmful to others;
interfere with the security or proper functioning of the Platform.
We may suspend or terminate access for violations of this clause.
8. Fees
The Platform may charge membership or administrative fees for access to the community or services.
These fees, if applicable:
are unrelated to investment activity;
do not depend on performance or transaction outcomes;
do not constitute compensation for investment services.
The Platform does not receive fees, commissions, or compensation for arranging, promoting, or facilitating investments.
9. Risk Disclosure
Information shared within the Platform may include views, opinions, or materials from third parties. We do not verify or guarantee the accuracy or completeness of such content.
Any decision you make - whether personal, strategic, financial, or otherwise - is entirely your own. You should:
conduct your own research;
consult qualified advisers;
make independent decisions based on your own judgment.
10. Limitation of Liability
To the fullest extent permitted by law, R+ Capital and its directors, employees, affiliates, and partners shall not be liable for:
any direct or indirect losses;

any decision to invest or not invest;
any interactions with third-party platforms or providers;
your use or inability to use the Platform.
11. Termination
You may terminate your membership at any time by written notice.
We may suspend or terminate membership if we believe you have breached these Terms or engaged in inappropriate conduct.
Upon termination, you must delete or destroy any confidential information obtained through the Platform.
12. Governing Law
These Terms are governed by the laws of Poland. Disputes shall be subject to the exclusive jurisdiction of the courts located in Warsaw, Poland
